A Flow Down or Pass-Through or Conduit Clause  EPC Contracts :

A flow down clause is a contract provision by which the parties incorporate the terms of the general contract between the owner and the general contractor into the lower tier agreement. It may also be referred to as a pass-through or conduit clause. They are most common in Oil & Gas EPC contracts.

منظور و کاربرد این شرط مهم در قراردادهای ای پی سی بین المللی ، زمانی است که طرفین  قرارداد می خواهند  شروط قرارداد اصلی بین خود را به لایه ای پایین تر ( پیمانکاران فرعی یا همان Subcontractors ) و یا فروشندگان و تامین کنندگان کالامنتقل نمایند.

به عبارت دیگر پیمانکار اصلی مسئولیت هایی را که در قرارداد اصلی خود توسط کارفرما به وی تحمیل  گردیده  است را به پیمانکار فرعی خود که انجام دهنده اصلی ان قسمت از کار می باشد ، تحمیل می نماید .

Flow-Down Clauses. Contractor shall use commercially reasonable efforts to include in its Subcontracts provisions which impose obligations on Subcontractors and Vendors that are consistent with the obligations imposed on Contractor in the provisions of this Agreement listed in Exhibit Y as those terms are applicable to the scope of work being performed by the Subcontractor or Vendor and subject to the limitations set forth in any such provision or Exhibit Y.
